Senior Counsel – Corporate & Securities
Raleigh, NC (Hybrid: 4 Days In-Office / 1 Day Remote)
A publicly traded company is seeking an exceptional Senior Counsel – Corporate & Securities to support critical corporate functions. This role reports to the Senior Vice President, Deputy General Counsel & Assistant Corporate Secretary and partners closely with Finance and Investor Relations leadership.
This position plays a key role in advising on public company reporting and governance matters, capital markets transactions, mergers and acquisitions, and complex commercial agreements. The ideal candidate will bring strong securities law expertise, excellent communication skills, and a collaborative, service-oriented mindset.
Key Responsibilities
Ensure compliance with applicable securities laws and regulations, including review of periodic and current SEC filings and advising on Regulation FD and public disclosure matters
Monitor and maintain compliance with NYSE listing requirements
Support the annual shareholder meeting process, including primary drafting of the proxy statement and management of shareholder proposals
Provide legal counsel and project management for corporate transactions, including M&A, debt offerings, and credit facility matters
Support corporate secretarial functions, including Board and committee meeting preparation and governance oversight for subsidiaries
Review and negotiate a broad range of commercial agreements, including vendor, procurement, IT, and service provider contracts
Support sustainability reporting initiatives, including oversight of SASB reporting
Qualifications
Strong technical expertise in public company securities regulation, corporate governance, and corporate/financing transactions
Business-oriented mindset with interest in corporate strategy and operations
Proven project management skills and strong drafting capabilities
Ability to thrive in a fast-paced, dynamic environment
Excellent interpersonal and consultative skills with the ability to work effectively across all levels of the organization
Experience managing and supervising outside counsel as appropriate
Demonstrated collaborative approach and service-oriented disposition
Education & Experience
Licensed attorney with strong academic credentials
4–6+ years of legal experience, preferably with training at a leading law firm
