Corporate Paralegal
Hybrid: New York City, San Francisco, Chicago, or Austin

We are seeking an experienced Corporate Paralegal to join our legal team. This role will support corporate governance, securities filings, subsidiary management, and strategic transactions, while collaborating with cross-functional teams in a fast-paced environment.

Responsibilities

Assist with corporate governance, securities filings (proxy statements, Section 16, annual/quarterly reports), and entity management (domestic & international).

Maintain corporate records, databases, board materials, and minutes.

Support M&A and strategic transactions (due diligence, closings, post-closing).

Administer equity incentive programs and ensure compliance.

Partner with tax, finance, HR, investor relations, and outside counsel.

Support litigation, investigations, and employment-related matters.

Manage multiple projects independently and ensure deadlines are met.

Qualifications

5+ years of corporate paralegal experience (law firm and/or in-house).

Bachelors degree and paralegal certificate (or equivalent).

Strong drafting, research, communication, and organizational skills.

Proficiency with Adobe Acrobat, DocuSign, Workiva, and BoardVantage.

Ability to manage vendors and external counsel.

Thrives in a fast-paced, collaborative environment.

Compensation & Benefits

Salary: $80,000 $90,000/year (OTE $90,000 $100,000 with bonus/commission).
