What you’ll do…

The General Counsel (GC) is a member of the GEDC Executive Team, reporting to the Chief Executive Officer. The GC works closely with the CEO and the management team to enhance the platform, mitigate risk and drive efficiencies, while protecting a strong company culture. The GC is responsible for leading the GEDC legal strategy, in support of the broader organizational strategy, to ensure the company systematically and proactively identifies and manages risks, complies with all applicable laws and regulations and adheres to the highest ethical standards in the support of our patients, Team Members and communities that we serve.

This position is located at the GEDC Practice Support Center in Southfield, MI and would require an on-site presence 5 days per week.

Key Responsibilities:

  • Oversees and manages the provision of all legal services to the institution to ensure maximum protection of GEDC’s legal rights and to maintain its operations within the limits prescribed by law. Assists GEDC Executive Team and Regional Leadership to instill and uphold a culture of compliance in a highly regulated environment.
  • Responds to subpoenas and other third-party requests for personnel files or employment-related documents and to dental association, dental board and attorney general complaints, and actively manage outside counsel as they assist GEDC in employment and workers’ compensation matters, malpractice and regulatory hearings, trials, arbitrations, mediations, and depositions.
  • Provides legal counsel to various GEDC business group leaders on relevant healthcare laws and regulations impacting the dental industry.
  • Partners with the SVP, Care Delivery and the Compliance Team to ensure the practices maintain safety and regulatory compliance.
  • Oversees, investigates, and provides guidance on issues related to the patient quality of care lifecycle including claim review, insurance reporting, adverse events and internal patient grievances.
  • Drafts and advises on communications with regulatory agencies (e.g., requests for additional information, allegations of violations, inspection report responses, disciplinary matters).
  • Provides assistance to the GEDC Patient Services team, which resolves patient grievances, investigates insurance audits and inquiries, and provides patient records in response to subpoenas, third-party or individual requests.
  • Advises Human Resources and management daily regarding a wide variety of employment law matters around recruiting, hiring, employee relations, discipline and terminations, investigations, leaves of absence, workplace discrimination and harassment, compensation, and benefits.
  • Drafts, reviews and negotiates contracts across all functional areas, including commercial agreements, vendor agreements, confidentiality agreements, business associate agreements, supply agreements, payor contracts, commercial leases and other contracts that arise from time to time.
  • Advises teams on compliance with the terms of active contracts, with the ability to interpret and discuss complex legal concepts in a pragmatic way that results in actionable business advice.
  • Researches and maintains up-to-date knowledge of statutes, case law, and industry trends applicable to medical professional liability.
  • Conducts due diligence on additional add-ons or de novo opportunities that improve EBITDA and further expand the Company’s density within targeted geographies.
  • Integrates the Company’s culture and drives a positive work environment that enables the business to attract, retain and motivate high-performing Team Members and position the Company as The Best Place to Work.

What you’ll bring to the team…

Professional Experience & Qualifications:

  • 10+ years of in-house General Counsel experience (or requisite experience in a law firm) in an entrepreneurial, high-growth, multi-site/state, clinician-driven healthcare services business. DSO or Specialty DSO sector experience is a plus.
  • Successful track record in leading and improving operating performance across multiple practices/locations within a high volume acquisition environment, preferably within a private equity-backed company.
  • Significant M&A experience, particularly around acquiring and integrating multi-location businesses into platform systems.
  • Understanding of how to scale an organization from a process and human capital perspective and demonstrated ability to recruit and develop top caliber talent.
  • Strong knowledge of federal and state employment laws and regulations (i.e., ADA, ADEA, FLSA, FMLA, OWBPA, Title VII).
  • Able to implement a metrics-driven culture focused on accountability and results.
  • Demonstration of superior management skills (i.e. business knowledge, leadership, motivational communication, conflict resolution).
  • Able to implement a metrics-driven culture, focused on accountability and results.
  • Accustomed to operating in a collaborative and entrepreneurial environment. Track record of flexibility and adaptability in leading operations through major growth and change with an understanding of the kinds of issues generated.
  • Understanding of clinical guidelines and reimbursement standards.
  • Experience in clinical operations, back office functions, Medicaid knowledge and payor relations
  • Strong written and verbal communication skills with the ability to manage and work collaboratively with a diverse group of clinical and non-clinical staff.

What we require you have…

Education:

  • J.D. degree from an ABA accredited law school, with licensure to practice and member of good standing of a state bar.

Physical Requirements:

  • Prolonged periods of sitting at a desk and working on a computer.
  • Must be able to lift up to 15 pounds at times.
