Corporate Contract Analyst

Our client is seeking a Corporate Contract Analyst to support contract lifecycle operations and negotiation across a multi-division enterprise. This role sits within the legal function and offers significant visibility to cross-functional teams including sales, operations, IT, and finance. The ideal candidate brings a strong background in contract review and negotiation, as well as the ability to manage contract-related data and workflows with precision.

Responsibilities:

  • Draft, analyze, and negotiate a wide range of commercial contracts, including NDAs, MSAs, vendor agreements, consulting agreements, and business associate agreements
  • Evaluate business and legal risks in contract terms, and escalate issues as needed to attorneys or business stakeholders
  • Interpret complex contract language and advise internal teams on obligations, rights, and key deliverables
  • Recommend revisions and alternative provisions to protect business interests while supporting deal flow
  • Maintain contract templates, clause libraries, and legal playbooks in collaboration with legal and compliance teams
  • Track and manage contract data using contract lifecycle tools; ensure accuracy, completeness, and accessibility
  • Identify opportunities to improve contract workflows and assist in implementing contract governance processes
  • Support audits and ensure data integrity through periodic reviews of archived agreements
  • Collaborate with legal, sales, finance, HR, and IT to align contract terms with operational goals and risk posture

Qualifications:

  • Bachelors degree required; 5+ years of experience in contract management, legal operations, or a corporate legal department
  • Strong track record of independently negotiating and analyzing commercial agreements
  • Proficiency in contract lifecycle management tools and software such as DocuSign, Adobe, and Microsoft Office Suite
  • Exceptional attention to detail and organizational skills
  • Ability to manage a high volume of contracts in a fast-paced, deadline-driven environment
  • Strong interpersonal and communication skills with a proven ability to work cross-functionally
  • Experience drafting policy, process documentation, or contract playbooks is a plus

Determining compensation for this role (and others) at Vaco/Highspring depends upon a wide array of factors including but not limited to the individuals skill sets, experience and training, licensure and certifications, office location and other geographic considerations, as well as other business and organizational needs.
