Associate Attorney

Job Description:
Job duties:Serve as Associate Attorney with firm. Responsible for government contract management on behalf of clients. Negotiate agreements, prepare contract orders and modifications, and assist in dispute mitigation and resolution. Negotiate wide range of agreements, including NDAs, teaming agreements, subcontracts, commercial leases, and M&A transaction documents; Advise clients on matters related to corporate governance, including entity formation, structuring, and restructuring; Assist with client intake; Correspond directly with clients to provide status updates and to request information needed to complete tasks.

Job Requirements:
Minimum requirements: Minimum of a Juris Doctor (J.D.) from an accredited law school and three (3) years of experience as an associate attorney or attorney. Specific Requirements: Minimum three (3) years of experience practicing general business/corporate law. Minimum three (3) years of experience drafting and reviewing commercial documents, including governing documents and non-disclosure agreements. Minimum two (2) years experience supporting Foreign Agent Registration Act (FARA) compliance. Minimum three (3) years experience with litigating contract and investment disputes, including fact discovery and motions practice, in both federal and bankruptcy courts. Minimum one (1) year experience analyzing investment, tax, and/or accounting documents. Minimum two (2) years experience providing legal services to non-profit organizations, including entity formation and application for federal tax exemption. Minimum two (2) years experience developing and implementing government relations and public relations strategies for international non-profits. Minimum six (6) months experience in fact-finding through Arabic publications and legal documents. Must be licensed to practice law in the District of Columbia or Commonwealth of Virginia If not licensed in VA, must be willing to obtain a VA Bar license within the first year of employment.

Offered Salary: $120,000 per year. The employer will pay or exceed the prevailing wage, as determined by the U.S. Department of Labor
